This Terms and Conditions Agreement (the “Agreement”) is entered into by and between VouchSpot (“we,” “our,” or “us”), an online business listing platform, and any individual, entity, or organization (“you,” “your,” or “User”) who accesses or uses our services, including the website, mobile application, and related features (collectively referred to as the “Platform”).

WHEREAS, VouchSpot provides an online platform designed to enable businesses to create, manage, and claim business listings, while allowing customers to search for, review, and interact with these businesses efficiently;

WHEREAS, the User desires to utilize the Platform in accordance with the terms, conditions, and policies set forth herein, and subject to compliance with applicable local, state, and national laws, including laws governing electronic communications, intellectual property, and consumer protection;

DEFINITIONS

For the purposes of this Agreement, the following terms shall have the meanings assigned below. Any term not expressly defined herein shall have its ordinary and commonly understood meaning:

  • “Platform”: Refers to the website, mobile application, and any associated services, tools, and resources provided by VouchSpot for business listings, customer interactions, and related purposes.
  • “User”: Includes any individual, business, or organization accessing or using the Platform, whether as a visitor, registered account holder, business owner, or customer.
  • “Business Listing”: Refers to a profile or entry on the Platform that includes information about a business, such as its name, contact details, address, services, products, and user-generated reviews.
  • “Content”: Refers to all materials made available on the Platform, including but not limited to text, images, videos, graphics, code, software, and any user-submitted information or data.
  • “Premium Services”: Paid features or services offered by VouchSpot, including but not limited to advertising packages, analytics tools, enhanced visibility, or other premium functionalities available through the Platform.
  • “Terms”: Refers to these Terms and Conditions, including all future amendments, updates, and supplements.
  • “Claiming a Listing”: Refers to the process by which a business owner or authorized representative provides verifiable evidence of ownership to take control of an existing business listing on the Platform.
  • “Third-Party Content”: Refers to any content, links, advertisements, or services provided by third parties that may be accessible through the Platform but are not controlled or owned by VouchSpot.
  • “Account”: Refers to a unique user profile registered with the Platform, enabling Users to access specific features or services provided by VouchSpot.
  • “Agreement”: Refers to this legally binding Terms and Conditions document between VouchSpot and its Users.
  • “Dispute Resolution”: Refers to the process of resolving conflicts between VouchSpot and Users, as outlined in Section 13 of these Terms.

NOW, THEREFORE, in consideration of the mutual promises, covenants, and agreements contained herein, the parties agree to the following terms:

1. About VouchSpot

VouchSpot is a comprehensive online business listing platform designed to facilitate the seamless connection between businesses and potential customers. The Platform enables businesses to create, manage, and claim customized profiles while allowing customers to search for, review, and interact with these businesses efficiently.

Business Listings

At the core of our services, VouchSpot populates the Platform with business profiles created from publicly available information. These profiles may be claimed by their rightful owners upon providing verifiable evidence of ownership, as determined at our sole discretion. Additionally, registered users, including business representatives, are empowered to create and manage their own business listings to enhance their online visibility.

Scope of Services

By using our Platform, businesses gain access to tools and features tailored for effective audience engagement, including but not limited to profile management, analytics, and premium advertising options (if applicable). Customers benefit from an intuitive interface that allows for streamlined searches and direct communication with businesses listed on the Platform.

VouchSpot serves as an intermediary platform, facilitating the exchange of information between businesses and customers. While we endeavor to provide accurate and reliable information, VouchSpot does not guarantee the accuracy, completeness, or reliability of any content or listings available on the Platform. Users are advised to independently verify any information prior to making decisions based on it.

Our mission is to create an ecosystem that promotes business growth by enhancing visibility and accessibility while empowering customers with the information they need to make informed decisions. We aim to uphold the highest standards of accuracy, integrity, and innovation in the services we provide.

2. Eligibility

By accessing or using the Platform, you agree that you meet the following eligibility requirements:

  1. Minimum Age Requirement:

    You must be at least 18 years old, or the legal age of majority as defined in your jurisdiction, to use the Platform.

  2. Authority to Bind an Entity:

    If you are accessing the Platform or registering an account on behalf of a business or other legal entity, you represent and warrant that you are fully authorized to act on behalf of such entity and to bind it to these Terms and Conditions.

  3. Accuracy of Information:

    You agree to provide truthful, accurate, and complete information during the registration process and at all times thereafter. You further agree to promptly update such information as necessary to ensure its continued accuracy and completeness.

  4. Legal Compliance:

    You warrant that your use of the Platform complies with all applicable laws, regulations, and industry standards in your jurisdiction. You further agree that you are not:

    • A person or entity barred from using the Platform under the laws of any jurisdiction.
    • Engaging in any activity that violates local, national, or international laws.

Acknowledgment and Assumption of Responsibility

By using the Platform, you acknowledge and accept full responsibility for any activities conducted through your account. You agree to safeguard your account credentials and promptly notify VouchSpot of any unauthorized access or breach of security.

3. Business Listings

3.1 VouchSpot-Initiated Listings

As part of our services, VouchSpot may independently create business listings using publicly available information, including but not limited to business directories, public records, and official websites. These listings are provided strictly on an "as-is" basis without warranties of accuracy, completeness, or reliability.

Owners of businesses listed on the Platform may claim their profiles by providing verifiable evidence of ownership, as outlined in Section 3.3 below. VouchSpot reserves the right to modify, update, or remove any initiated listings at its sole discretion.

3.2 User-Generated Listings

Registered users, including business owners or their authorized representatives, are permitted to create, edit, and manage business profiles on the Platform. Users are solely responsible for ensuring that all submitted information is:

  1. Accurate, complete, and free of errors;
  2. Not misleading or deceptive; and
  3. Updated regularly to reflect any material changes to the business's details or offerings.

VouchSpot is not liable for any inaccuracies or damages arising from user-generated listings.

3.3 Claiming Listings

Business owners or their authorized representatives may claim listings created by VouchSpot or other users by submitting evidence of ownership, such as business registration documents, official correspondence, or other acceptable proof.

  • Claim requests will be reviewed on a case-by-case basis, and VouchSpot retains full discretion to approve or deny claims.
  • By claiming a listing, the claimant assumes full responsibility for the accuracy and legality of the information provided.

In cases of ownership disputes, VouchSpot may require additional documentation or suspend the listing until the dispute is resolved.

3.4 Listing Accuracy

While VouchSpot endeavors to maintain a high standard of accuracy for listings, we do not guarantee or warrant the accuracy, completeness, or reliability of any information listed on the Platform, whether initiated by us or submitted by users.

Users are advised to independently verify any information obtained from the Platform before making decisions or taking actions based on it. VouchSpot disclaims all liability for inaccuracies, omissions, or errors in business listings.

4. User Responsibilities

When accessing or using the Platform, you agree to adhere to the following responsibilities:

  1. Accuracy and Integrity of Content:

    Users must provide only accurate, truthful, and lawful content. Misleading, defamatory, or unauthorized content is strictly prohibited.

  2. Lawful Use:

    The Platform must not be used for any purpose that is unlawful, fraudulent, or harmful to other users, businesses, or the general public.

  3. Compliance with Applicable Laws:

    Users must abide by all applicable local, state, and national laws, as well as industry regulations, in their use of the Platform.

  4. Prohibition of Unauthorized Activities:

    Users are prohibited from engaging in activities that compromise the integrity, security, or functionality of the Platform.

Prohibited Activities

The following activities are strictly prohibited and may result in suspension or termination of access to the Platform, as well as potential legal action:

  • Data Scraping and Mining:

    Extracting, scraping, or mining data from the Platform without express written authorization is prohibited.

  • Security Violations:

    Attempting to bypass, disable, or circumvent any security measures or gain unauthorized access to restricted areas of the Platform is forbidden.

  • Disruption of Services:

    Engaging in any activity that interferes with or disrupts the normal functioning of the Platform, such as the deployment of viruses, malware, or other harmful code, is prohibited.

  • Intellectual Property Infringement:

    Uploading or using content that violates intellectual property rights, including copyrights, trademarks, and patents, is strictly prohibited.

Additional Prohibited Activities for Users in Pakistan:

To comply with Pakistani laws, including the Prevention of Electronic Crimes Act, 2016 (PECA) and the Pakistan Penal Code (PPC), 1860, users in Pakistan are also prohibited from:

  • Hate Speech, Blasphemy, or Defamation:

    Using the Platform to promote hate speech, blasphemy, or defamation as defined under relevant sections of the PPC, including Sections 295-A, 500, and related laws.

  • Terrorism or Incitement to Violence:

    Uploading content that promotes terrorism, incites violence, or violates Section 11 of PECA.

  • Unauthorized Access or Data Alteration:

    Accessing, altering, or destroying data without authorization, in violation of Section 3 of PECA.

  • Cyber Harassment or Blackmail:

    Engaging in cyber harassment, blackmail, or the dissemination of private images or information without consent, in violation of Sections 20 and 21 of PECA.

Enforcement and Legal Action:

VouchSpot reserves the right to investigate and take appropriate legal action, including:

  1. Immediate suspension or termination of accounts involved in prohibited activities.
  2. Reporting violations to relevant Pakistani authorities, such as the Federal Investigation Agency (FIA), or other applicable regulatory or law enforcement bodies.

By purchasing any premium services, advertising packages, or additional features offered through the Platform, you agree to the following terms:

  1. Payment of Fees:

    You are responsible for paying all applicable fees, charges, and taxes associated with the services you purchase. Payments must be made in the currency specified at the time of the transaction.

  2. Payment Methods:

    You agree to provide accurate and valid payment information at the time of purchase. VouchSpot accepts only the payment methods specified on the Platform and reserves the right to refuse or cancel any payment transaction if fraudulent or unauthorized activity is suspected.

  3. Compliance with Purchase Agreements:

    Any additional terms and conditions related to specific premium services or advertising packages will be outlined in a separate purchase agreement. By completing a transaction, you agree to be bound by the terms of that agreement.

  4. Non-Refundable Payments:

    Unless otherwise specified in our Refund Policy, all payments are non-refundable. Users are encouraged to review the details of services before completing a purchase.

  5. Late Payments and Penalties:

    If your payment is delayed or declined, VouchSpot reserves the right to suspend or terminate your access to the purchased services. Late payments may incur additional fees or penalties, as applicable.

  6. Disputed Charges:

    If you dispute a charge, you must notify VouchSpot in writing within 30 days of the transaction. Failure to dispute charges within this time frame constitutes a waiver of any claim relating to the disputed payment.

6. Intellectual Property Rights

6.1 Platform Content

All content and materials available on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, software, code, and the overall design of the Platform (collectively, "Platform Content"), are the exclusive property of VouchSpot or its licensors.

Such content is protected by applicable copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform Content for personal or business purposes strictly in accordance with these Terms.

You may not:

  • Copy, reproduce, distribute, display, or create derivative works based on the Platform Content without prior written consent from VouchSpot.
  • Remove, obscure, or alter any copyright, trademark, or proprietary notices on the Platform.

6.2 User Content

By submitting, uploading, or posting content on the Platform (including business profiles, reviews, images, or other materials), you retain ownership of your intellectual property but grant VouchSpot a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to:

  1. Use, reproduce, distribute, modify, adapt, publish, and display your content in connection with the operation and promotion of the Platform.
  2. Sub-license these rights to third parties for purposes directly related to the services offered by the Platform.

You represent and warrant that any content you submit:

  • Does not infringe upon the intellectual property rights or proprietary rights of any third party.
  • Complies with all applicable laws and these Terms.

VouchSpot reserves the right, at its sole discretion, to remove or modify user-submitted content that violates these Terms or is deemed inappropriate.

6.3 Infringement Policy

VouchSpot respects the intellectual property rights of others and expects users to do the same. If you believe your intellectual property rights have been infringed upon by content on the Platform, you may file a complaint by following the procedures outlined in our DMCA Policy.

To expedite the process, your complaint must include:

VouchSpot will respond promptly to valid infringement claims by removing or disabling access to the allegedly infringing content and notifying the user responsible. Repeat offenders may have their accounts terminated.

7. Disclaimer of Warranties

The Platform and all content, services, and features provided through VouchSpot are offered on an "as-is" and "as-available" basis, without any representations or warranties of any kind, express or implied.

To the fullest extent permitted by applicable law, VouchSpot expressly disclaims any and all warranties, including but not limited to:

  • Accuracy and Reliability:

    We do not guarantee the accuracy, completeness, reliability, or timeliness of any business listings or information provided on the Platform. Users are encouraged to independently verify such information before relying on it.

  • Availability and Uninterrupted Access:

    We make no warranty that the Platform will operate without interruptions, delays, errors, or security vulnerabilities. Scheduled maintenance, technical issues, or external factors may impact the availability of the Platform.

  • Fitness for Purpose:

    The Platform is provided for informational purposes only and is not tailored to meet the specific requirements of individual users. We disclaim any warranties regarding the suitability of the Platform for a particular purpose, merchantability, or non-infringement.

  • Third-Party Content and Links:

    The Platform may contain links to third-party websites or content. VouchSpot does not endorse or assume responsibility for the accuracy, legality, or reliability of such third-party content.

  • By using the Platform, you acknowledge and agree that any reliance on its content or functionality is at your own risk. No advice or information, whether oral or written, obtained from VouchSpot shall create any warranty not expressly stated in these Terms.

8. Limitation of Liability

To the maximum extent permitted by law, VouchSpot and its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for:

  1. Indirect or Consequential Damages

    Any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, business interruption, loss of data, or goodwill arising from or related to:

    • Your use of or inability to use the Platform.
    • Errors, inaccuracies, or omissions in business listings or other content.
    • Unauthorized access to or alteration of your data or content.
  2. Aggregate Liability:

    Our total liability to you for any claims, actions, or damages arising out of or relating to these Terms or your use of the Platform shall not exceed the amount you paid (if any) to access or use the Platform in the 12 months immediately preceding the event giving rise to the claim.

  3. Jurisdictional Limitations:

    Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

13. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Pakistan for users based in Pakistan and by the laws of the United States for users based in the United States.

13.1 Good-Faith Negotiations

In the event of a dispute, the parties agree to first attempt to resolve the matter amicably through good-faith negotiations. Each party shall make reasonable efforts to address and settle any disagreements before pursuing formal legal remedies.

13.2 Jurisdiction and Venue

For Pakistani Users:

Any disputes arising out of or relating to these Terms shall be governed by the laws of Pakistan, including but not limited to the Prevention of Electronic Crimes Act, 2016 (PECA), the Electronic Transactions Ordinance, 2002 (ETO), and other applicable laws. Disputes shall be resolved exclusively in the courts located in Islamabad, Pakistan, and users expressly waive any objections to the jurisdiction of these courts, including objections based on venue or inconvenience.

For U.S. Users:

For users based in the United States, disputes will be governed by the laws of the state specified in Section 16. The jurisdiction and venue for resolving disputes will be determined based on the user's state of residence or business operation as outlined in the State-Specific Rules and Regulations section.

14. Termination

VouchSpot reserves the right to suspend or terminate your access to the Platform, in whole or in part, at any time and without prior notice, under any of the following circumstances:

  1. Violation of Terms:

    If you breach these Terms or engage in any activity that is unlawful, harmful, or otherwise detrimental to the Platform, its users, or its reputation.

  2. Violation of State-Specific or Federal Laws:

    If you engage in any activity that violates applicable local, state, or federal laws, regulations, or statutes, including but not limited to:

    1. Violations of consumer protection laws, such as false advertising or deceptive trade practices.
    2. Infringement of intellectual property laws.
    3. Violations of data protection laws, such as the California Consumer Privacy Act (CCPA) or the General Data Protection Regulation (GDPR), where applicable.
    4. Engagement in fraudulent or deceptive practices in connection with the Platform.
  3. Security Concerns:

    If unauthorized or suspicious activity is detected on your account that may compromise the integrity, security, or functionality of the Platform or its users.

  4. Discontinuation of Services:

    If VouchSpot ceases to offer the Platform or any specific services for any reason, whether due to business restructuring, regulatory changes, or other unforeseen circumstances.

Actions Upon Termination

  1. Loss of Access:

    Upon termination, your right to access and use the Platform will immediately cease.

  2. Deletion of Account and Data:

    VouchSpot reserves the right to delete, deactivate, or otherwise restrict access to your account, including any associated content, data, or stored information. This may include the removal of business listings, reviews, or other user-generated content.

  3. Notification and Appeals:

    Users who believe their accounts were terminated in error may contact VouchSpot at info@vouchspot.com to request clarification or appeal the termination decision. However, VouchSpot retains sole discretion in determining whether access will be reinstated.

  4. Reporting to Authorities:

    In cases involving violations of state-specific or federal laws, VouchSpot reserves the right to report such violations to the appropriate regulatory or law enforcement authorities for further action.

16. State-Specific Rules and Regulations

Additional requirements may be imposed by your local jurisdiction, and it is your responsibility to remain informed of and comply with such requirements.

16.4 Other Jurisdictions

16.5 Consumer Protection Laws in Pakistan

For users and businesses in Pakistan, all activities on the Platform are subject to applicable consumer protection laws, including but not limited to the Punjab Consumer Protection Act, 2005, and other provincial consumer protection regulations.

Responsibilities of Businesses:
  1. Avoid Deceptive Practices: Businesses must ensure that their advertising is truthful, transparent, and free from misleading claims.
  2. Disclosure of Policies: Pricing, refund terms, and cancellation policies must be clearly disclosed in business listings.
  3. Complaint Resolution: Businesses must respond promptly and effectively to consumer complaints in compliance with consumer rights under Pakistani laws.
Enforcement:

VouchSpot reserves the right to suspend or remove business listings that fail to comply with these legal requirements. Additionally, non-compliant businesses may be reported to the relevant consumer protection councils or regulatory authorities within Pakistan.

17. Violations of State or Federal Laws

VouchSpot reserves the right to take action against users or businesses that engage in conduct violating local, state, or federal laws while using the Platform. Such actions may include, but are not limited to:

  1. Investigation: Conducting internal investigations into the alleged violations.
  2. Account Suspension or Termination: Temporary or permanent suspension of accounts involved in unlawful activities.
  3. Reporting to Authorities: Reporting unlawful conduct to relevant law enforcement or regulatory agencies, including state attorney generals or the Federal Trade Commission (FTC).
  4. Monetary Penalties: Pursuing compensation for damages caused to the Platform or its reputation due to user or business misconduct.

18. Cooperation with Authorities

VouchSpot is committed to complying with applicable laws and regulations, including cooperation with regulatory and law enforcement authorities in Pakistan, the United States, and other jurisdictions.

For Pakistani Users:

VouchSpot will cooperate with the Federal Investigation Agency (FIA) and other relevant Pakistani authorities in the investigation of crimes, fraud, or misuse of the Platform. User data will only be disclosed to authorities upon receipt of valid legal requests, subpoenas, or court orders, as required under the Prevention of Electronic Crimes Act, 2016 (PECA), and subject to due legal process and safeguards.

For U.S. Users:

VouchSpot will respond to lawful requests for information or assistance in accordance with the applicable local, state, or federal laws governing user data and platform usage. Data will only be shared with law enforcement or regulatory agencies upon receipt of valid subpoenas, court orders, or equivalent legal requests, in compliance with the Electronic Communications Privacy Act (ECPA) and other applicable laws.

General Guidelines:

VouchSpot will maintain the confidentiality and security of user data and will only disclose such information when legally obligated to do so. All requests for data disclosure will be carefully reviewed to ensure compliance with legal standards and the protection of user privacy.

By accessing or using the VouchSpot Platform, you acknowledge and agree that:

  1. You have read and understood these Terms and Conditions in their entirety.
  2. You accept and are bound by these Terms without limitation or qualification.
  3. You understand and agree to comply with all applicable state-specific and federal laws relevant to your use of the Platform.
  4. Your continued use of the Platform signifies your ongoing agreement to these Terms, including any updates or modifications made in accordance with Section 12 above.

If you do not agree to these Terms or cannot comply with the applicable laws, you must immediately discontinue your use of the Platform.
